Terms of Service

These terms are an agreement between you and BBBuildWebsites LLC, doing business as BBB Markets, New Jersey, United States ("BBB Markets", "we", "us"). They cover the BBB Markets desktop app, the Analyst, and your subscription (together, "the Service"). By subscribing or using the Service, you agree to them. If you use the Service for a company, you agree on its behalf and confirm you're authorized to.

1. What BBB Markets is, and isn't

BBB Markets estimates the value of a digital business from its own data, using published valuation benchmarks, and shows what could change that value.

Estimates are not appraisals, offers or advice. Valuations, forecasts, scores and Analyst answers are estimates based on the data you provide and on general market benchmarks. They are not a formal appraisal, a fairness opinion, an offer to buy, or financial, investment, tax, accounting or legal advice. Actual sale prices depend on buyers, deal terms and market conditions and can differ substantially. Talk to qualified professionals before making decisions.

We are not a broker or marketplace. BBB Markets does not buy or sell businesses, introduce buyers and sellers, arrange or negotiate transactions, or handle funds for them, and it is not a registered broker-dealer or business broker.

The Analyst uses AI and can be wrong. Its answers are generated automatically from the figures the app calculates. Check anything important before relying on it.

2. Eligibility

You must be at least 18 and have a billing address in the United States. Orders with a billing address outside the United States are cancelled and refunded in full.

3. Subscription, renewal and cancellation

• Plans: $79 per month or $790 per year, plus any applicable sales tax, which is calculated at checkout.
• Automatic renewal: your subscription renews automatically at the end of each month or year, and your payment method is charged the then-current price until you cancel. We'll tell you before any price change takes effect, and you can cancel before it applies. Yearly subscribers receive a reminder before renewal.
• Cancel anytime online through the billing link in your license email. Cancelling stops future renewals; you keep access until the end of the period you've paid for.
• Refunds: payments are non-refundable, including for partly used periods, except where the law requires otherwise or these terms say so. If something is wrong with a charge, email us and we'll look at it.
• Failed payments: if a renewal payment fails, Stripe will retry it. The app keeps working for up to 14 days after the paid period ends while the payment is retried, then locks until the payment succeeds.

4. Your license

While your subscription is active, we grant you a personal, non-exclusive, non-transferable license to install and use BBB Markets on up to three computers for your own business purposes. You may deactivate a computer to move the license to another.

The app checks your license with our server from time to time. It keeps working offline for up to 14 days between successful checks.

You may not: share or resell your license key; copy, modify, reverse engineer or decompile the app except as the law allows; get around license checks or the Analyst allowance; or use the Service to build a competing product.

5. Your data

Your business data is yours. It is stored on your computer, and you are responsible for keeping copies. You confirm that you have the right to use any data you import or connect, including through a Stripe key you provide. Our Privacy Policy explains what our server keeps.

6. The Analyst allowance

Each license includes 50 Analyst questions per calendar month, which reset on the 1st (UTC). Unused questions don't carry over. We may change the allowance with notice, and may pause the Analyst briefly for maintenance or if our AI provider is unavailable.

7. Acceptable use

Don't use the Service to break the law, infringe others' rights, send us harmful code, overload or attack our systems, or try to access data that isn't yours.

8. Updates and changes

We may update the app to fix problems, improve it or keep up with law or partner requirements. We may change these terms. If a change is material, we'll email subscribers at least 30 days before it takes effect. If you don't agree, you can cancel before then.

9. Ending the Service

We may suspend or end your access if you seriously or repeatedly break these terms or don't pay. If we discontinue BBB Markets entirely, we'll give reasonable notice and refund any unused portion of a prepaid period.

10. Warranties

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise the Service will be uninterrupted or error-free, or that any estimate will match a real-world outcome.

11. Limitation of liability

To the fullest extent the law allows, BBB Markets will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, including losses from decisions made using valuations, forecasts or Analyst answers. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim.

Some jurisdictions don't allow some of these limits, so some may not apply to you.

12. Indemnity

If you use the Service for a business, you agree to cover our reasonable costs from third-party claims arising from your misuse of the Service or your breach of these terms.

13. Governing law and disputes

These terms are governed by the laws of the State of New Jersey and applicable US federal law. Before bringing any claim, contact us at support@getbbbmarkets.com and give us 30 days to try to resolve it informally. Any dispute that isn't resolved that way will be decided exclusively by the state or federal courts located in New Jersey, and you and we consent to their jurisdiction. Nothing here stops either of us from bringing a claim in small claims court where it qualifies.

14. General

These terms and the Privacy Policy are the whole agreement between us about the Service. If any part is found unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it. You may not transfer these terms without our consent; we may transfer them with the business.
